(NYSE: MRV) today announced that, in order to implement a proposed $525 million recapitalization that will enable Marvel to pursue its new strategic initiatives and achieve sustained profitability, Marvel has filed a voluntary petition for reorganization in the U.S. Bankruptcy Court for the District of Delaware in Wilmington. The filing will ensure that Marvel can continue all business operations without interruption while it obtains necessary approvals of its financial restructuring plan. The filing was necessitated by the failure of the holders of bonds issued by Marvel's holding companies to reach agreement regarding any alternative plans for the Company's future. As a result of today's petition, Marvel will be able to avail itself of the orderly processes of the court to complete the reorganization and move forward without the necessity of bondholder consent. Holders of Marvel holding company bonds were asked more than a month ago to support Marvel's plan by waiving certain restrictions contained in the bonds. However, the failure to reach agreement with bondholders, many of whom are so- called "vulture investors" who recently accumulated the bonds, delayed Marvel from moving forward with its plan in a timely fashion. "We would have preferred to re-capitalize Marvel without having to seek the aid of the court, but the actions and positions taken by the bondholders prevented that approach," said Scott Sassa, Chairman and CEO of Marvel. "The key to putting Marvel on track for a dynamic and profitable future is a quick resolution to this situation, and we want to get on with it." "We are taking steps that are not typical in this situation," said Mr. Sassa. "We intend to pay all of our bills, including those submitted prior to the filing, on time and in full, and maintain normal credit terms with our suppliers and licensors. Upon court approval, which is expected shortly, this DIP financing will ensure that Marvel has sufficient liquidity to pay all current and expected trade and employee obligations and to meet all of its operating and investment needs during the reorganization process. Marvel expects the reorganization to be completed within a few months, although there can be no assurance that such reorganization will be consummated. In addition to Marvel, the companies engaged in the publishing, licensing, distribution and trading card businesses of Marvel have filed voluntary chapter 11 petitions today. Marvel's filing does not include Marvel's Panini subsidiary, which is headquartered in Italy. They've lost boxes in their warehouse, they've shipped boxes to the wrong place, they've overcharged us by hundreds of dollars due to double-counting and math errors, they've "lost" most of the print run of issue #3, and they've mispackaged nearly the entire print run of issue #4. As a result, our books have been delayed and our production schedule entirely thrown off. Needless to say, we are seeking a new printing company now. I have a phone number and contact name at Quebecor -- has anyone had any experience with them? Are there any other printers out there that we should look into? In 1997 my wife and I are jumping into the self-publishing arena as ENIGMA COMICS. How many others will join us in the new year, I'm not sure. I'm hoping we will stand out among many. Our first project, DRAGON STAR, will be ready for preview in February and we hope to have in print by June/July to show it off at the Chicago Comicon as well as give a sneak peak at issue 2 of the series. DRAGON STAR will be an on going series from ENIGMA COMICS and will be published on a quarterly schedule till sales and response convince otherwise. The series should appeal to readers of BONE, THIEVES AND KINGS, WANDERING STAR and STRANGE ATTRACTORS. DRAGON STAR is a romp in Sci-fi/Fantasy and with enough humor and action to please all. The series will be Drawn and Written by myself, Ron Phillips, based upon characters and stories created by my wife, Colleen Phillips, who will also assist with the art chores. DRAGON STAR is proposed as a 32 page B&W series with a shelf tag of $2.75. I know this sounds a lot like an ad, but this is what I am doing in the business, and is the main focus for my 97 year. This announcement was made by Jerry Katzman, president of the William Morris Agency. This partnership teams up Rosenberg with Europe's #1 comic book property rights holder, Ervin Rustemagic'. "The comic industry is going through major changes and the industry leadership is changing hands," said Katzman. "Rosenberg keeps giving entertainment consumers exactly what they want, and his deal with Platinum is another example of his talent for staying one step ahead of the latest trend." WMA has assembled a full team for the Platinum Studios library headed by Paul Bricault, and includes agents Alan Gasmer for feature films and Mark Itkin for television projects. Rosenberg departs Marvel/Malibu after serving his dual role as Executive VP/President since he sold Malibu Comics to Marvel in 1994. Earlier in her career, Isaacson served as vice president of international operations at Hamilton Projects, a subsidiary of Great American Communications, which formerly owned Hanna-Barbera Productions. She also was with The Beanstalk Group, where she developed and implemented marketing strategies and sales plans for all business outside the U.S. and Canada. Isaacson holds a master's degree from Adelphi University and a bachelor's degree from Queens College, both in New York.
